
Junior Corporate Legal Counsel

- Provide support to the Company Secretary for Malta based companies;
- For Malta-based companies: provide support on a range of corporate transactions, including increases in share capital, allotments, share transfers, dividend distributions etc., prepare the supporting documentation for said corporate transactions to be submitted to the local tax authorities and corporate registers, handle the annual general meetings and yearly statutory filings with local authorities, organize extraordinary general meetings as may be needed;
- Ensure statutory records - such as the UBO register and share register - are kept up to date, whether maintained locally or via any third-party platform, for Malta-based companies, and coordinate the upkeep of such records for foreign entities in collaboration with external service provider;
- Oversee any corporate matters involving the international companies of the group;
- Assist in the registration, reorganization, and liquidation of companies in Malta and overseas;
- Ensure that Group’s directors fulfil their statutory obligations and advise on any risks they may face;
- Assist the in-house legal and compliance team as may be necessary from time to time, including providing support with corporate matters arising during tender processes, RFPs, regulatory compliance etc;
- Assist in any M&As the group may be involved in;
- Support with the maintenance of the EveryMatrix Employee Trust;
- Liaise with third-party advisors engaged to support the in-house legal team
- Assist with KYC queries;
- Provide effective legal advice and support across all levels of the business on legal issues affecting the group.
- Master’s degree in law or equivalent;
- 1+ years experience in corporate law or a similar regulatory environment;
- Knowledge of Maltese and international corporate law;
- Good understanding of – or the ability to learn about – the financial and tax considerations driving corporate reorganizations;
- Proficient in written and spoken English;
- Knowledge of iGaming legal landscapes is considered an advantage;
- Ability to work in a flexible, complex, and changing business environment;
- Excellent diplomatic and negotiating skills;
- Comfortable using Microsoft Office applications;
- Able to draft and review medium to complex contracts/legal documentation;
- Able to research and provide advice on legal matters affecting the business;
- Able to identify high-risk areas and recommend actions to mitigate risks;
- Analytical thinking (solution driven);
- Detail-oriented and organised-able to prioritise;
- Ability to communicate with internal teams and external stakeholders, including authorities;
- Ability to perform under pressure;
