- Draft and review internal company agreements, including NDAs, service contracts, and supplier/client engagements.
- Manage the drafting and vetting of client contracts, including shareholder agreements, financing agreements, and other commercial legal documents.
- Ensure legal documents are fully compliant with local and international regulations.
- Provide strategic legal guidance to clients and the internal leadership team.
- Advise on corporate governance, structuring, and re-structuring activities.
- Monitor legal and regulatory changes, offering summaries and briefings to internal teams and clients.
- Deliver internal legal guidance, compliance checklists, and support new legal/regulatory frameworks (especially in corporate, AML, and tax).
- Conduct legal risk assessments on business transactions, company formations, and cross-border deals.
- Collaborate with external legal counsel on complex legal issues, litigation, and multi-jurisdictional advice.
- Oversee the legal accuracy of templates, policies, procedures, and regulatory filings.
- Contribute to the improvement of internal legal, corporate, and regulatory processes.
- Masters degree in Law (LL.M. or equivalent), preferably from the University of Malta.
- Licensed to practise law in Malta (or in the process of obtaining such).
- At least 8 years experience in corporate and civil law, with proven exposure to commercial contracts.
- Prior experience or strong understanding of the gaming or technology sectors is a plus.
- Strong grasp of corporate governance, contract law, and compliance matters.
- Knowledge of data protection and intellectual property regulations.
- Excellent written and verbal communication, negotiation, and analytical skills.
- Confident working independently and within cross-functional teams.
- Prior experience leading legal teams or projects is considered an asset.
